Stripe and Advent Target PayPal in $53 Billion Buyout Proposal

Shares of PayPal surged in after-hours trading after reports revealed that fintech giant Stripe and private equity firm Advent International had submitted a joint proposal to acquire the digital payments company. The offer values PayPal at more than $53 billion, marking what could become one of the largest fintech transactions in recent years.

According to Reuters, the proposal was delivered to PayPal’s board in early July 2026 and includes financing commitments of approximately $50 billion from a consortium of banks. Investors reacted immediately, sending PayPal shares up about 15% following news of the potential takeover.

If completed, the acquisition would reshape the global digital payments industry at a time when fintech companies are increasingly pursuing consolidation to strengthen their competitive positions.

Buyout Offer Signals Confidence in PayPal’s Future

The consortium has offered $60.50 per share, representing a premium of roughly 28% over PayPal’s most recent closing price before the proposal became public.

People familiar with the matter say Stripe and Advent intend to retain PayPal as a unified business rather than dividing its operations. Under the proposed structure, both companies would hold equal ownership stakes of 50%, allowing them to jointly oversee the next stage of the payment platform’s development.

Discussions reportedly began months earlier, with initial outreach taking place in April. Despite the early approach, PayPal has yet to formally respond to the proposal. Sources indicate that both bidders remain interested in continuing negotiations, although there is no certainty that the talks will result in a finalized agreement.

The transaction would rank among the most significant mergers in the global financial technology sector, reflecting growing investor confidence in digital payment platforms despite increased market competition.

Competition and Restructuring Have Changed PayPal’s Position

PayPal helped pioneer online payments after its launch in the late 1990s, becoming one of the world’s best-known digital financial services companies. However, the competitive landscape has changed dramatically over the past several years.

The expansion of Apple Pay, Google Pay, and other digital wallet providers has reduced PayPal’s market dominance and slowed user growth. At the same time, merchants and consumers have embraced integrated payment ecosystems offered by technology companies, creating additional pressure on standalone payment platforms.

The company’s market value illustrates this shift. During the technology boom of 2021, PayPal reached a valuation of nearly $360 billion. By 2026, its capitalization had fallen to approximately $36 billion at its lowest point, while the stock lost more than 40% of its value over the previous twelve months.

Despite the decline, many analysts believe PayPal continues to own one of the world’s strongest digital payment ecosystems, serving hundreds of millions of customers and millions of merchants across international markets.

The proposed acquisition appears to reflect the view that the company’s long-term strategic value exceeds its current market valuation.

Strategic Changes Could Support Long-Term Growth

PayPal has already begun implementing major operational changes under its new leadership. Chief Executive Officer Enrique Lores, who assumed the role earlier this year, launched an extensive restructuring program designed to simplify the business and improve profitability.

As part of that strategy, the company reorganized its operations into three primary divisions covering checkout solutions, consumer financial services, and payments combined with cryptocurrency products. Management has also announced plans to reduce operating costs by approximately $1.5 billion over the coming years through broader adoption of artificial intelligence across customer support, fraud detection, and internal operations.

Meanwhile, Stripe continues to strengthen its own position within global fintech. The privately held company was valued at approximately $159 billion during its latest funding round, making it one of the world’s most valuable private technology businesses.

A successful acquisition would combine Stripe’s merchant infrastructure with PayPal’s extensive consumer network, creating one of the largest integrated digital payments ecosystems globally.

The proposal also arrives as fintech companies increasingly pursue mergers and acquisitions to accelerate innovation, expand customer bases, and improve operational efficiency in response to rapid advances in AI and financial technology.

PayPal has continued investing in digital assets as part of its broader strategy. Last year the company expanded cryptocurrency support within its peer-to-peer payment platform, allowing users to send and receive Bitcoin, Ethereum, and its own PYUSD stablecoin directly through the PayPal application without relying on external crypto wallets.

Whether Stripe and Advent ultimately secure board approval remains uncertain. Nevertheless, the proposal has already reignited investor interest in PayPal and highlights renewed confidence that established payment companies remain attractive strategic assets in an increasingly competitive fintech market.
